1. Acceptance of Terms
These Terms constitute a legally binding agreement between you ("User", "you", or "your") and Pace ("Company", "we", "us", or "our") regarding your use of the Pace website and application.
2. Description of Service
Pace is an AI-powered automation tool designed to optimize advertising campaigns on third-party platforms including, but not limited to, Google Ads, Meta Ads (Facebook/Instagram), and LinkedIn Ads.
IMPORTANT NOTICE REGARDING AUTOMATION:
The Service functions by analyzing your advertising performance data and automatically executing changes to your ad accounts, which may include:
a) Pausing or enabling campaigns.
b) Increasing or decreasing daily/lifetime budgets.
c) Modifying bid strategies.
By connecting your ad accounts to Pace, you explicitly grant us permission to take these actions on your behalf. You acknowledge that Pace's algorithms are automated and may not always predict market conditions perfectly. You remain solely responsible for monitoring your ad spend and account performance.
3. User Accounts and Access
Registration: To access the Service, you must register for an account. We currently utilize Google Sign-In for authentication. You agree to provide accurate and complete information during the registration process.
Security: You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account.
Ad Platform Access: In order to function, Pace requires access tokens to your third-party ad accounts. You represent and warrant that you have the necessary rights and permissions to grant Pace access to these accounts.
4. Third-Party Services
The Service integrates with third-party platforms (Google, Meta, LinkedIn). Your use of the Service is also subject to the terms and policies of these third-party platforms.
No Affiliation: Pace is an independent tool and is not affiliated with, endorsed by, or sponsored by Google, Meta, or LinkedIn.
Platform Compliance: You agree to comply with all applicable policies of the connected ad platforms. Pace is not responsible for any account suspensions, bans, or restricted access imposed by these platforms resulting from your campaigns or Pace's automated actions.
5. Subscription and Payment
a) Fees: The Service is offered on a subscription basis. You agree to pay all fees in accordance with the pricing plan you select.
b) Payment Processing: We use Stripe to process payments. By providing your payment information, you authorize us (through Stripe) to charge the applicable subscription fees to your chosen payment method.
c) Automatic Renewal: Your subscription will automatically renew at the end of each billing cycle unless you cancel it before the renewal date.
d) Refunds: All fees are non-refundable unless otherwise stated in writing by us or required by applicable law.
6. Intellectual Property
The Service, including its code, algorithms, design, and "Pace" branding, is the exclusive property of the Company and is protected by copyright, trademark, and other intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to use the Service for your internal business purposes.
7. User Conduct
You agree not to:
Use the Service for any illegal purpose or in violation of any local, state, national, or international law.
Reverse engineer, decompile, or attempt to extract the source code of the Service.
Interfere with or disrupt the integrity or performance of the Service.
Attempt to gain unauthorized access to the Service or its related systems.
8. Disclaimer of Warranties
THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. TO THE FULLEST EXTENT PERMITTED BY LAW, THE COMPANY DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
WE DO NOT WARRANT THAT THE AI ALGORITHMS WILL GUARANTEE IMPROVED ADVERTISING PERFORMANCE, ROI, OR LOWER COSTS. ADVERTISING MARKETS ARE VOLATILE, AND PAST PERFORMANCE IS NOT INDICATIVE OF FUTURE RESULTS.
9. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL THE COMPANY BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:
(A) YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICE;
(B) ANY UNINTENDED OR ERRONEOUS CHANGES TO YOUR AD BUDGETS OR CAMPAIGN SETTINGS MADE BY THE AUTOMATED SYSTEM;
(C) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SERVICE.
OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US FOR THE SERVICE IN THE SIX (6) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
10. Indemnification
You agree to indemnify and hold harmless the Company, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable legal fees, arising out of or in any way connected with your access to or use of the Service, your violation of these Terms, or your violation of any third-party right.
11. Changes to Terms
We reserve the right to modify these Terms at any time. We will provide notice of significant changes through the Service or via email. Your continued use of the Service after such changes constitutes your acceptance of the new Terms.
12. Governing Law and Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of New South Wales, Australia, without regard to its conflict of law provisions. Any dispute arising from these Terms shall be resolved through binding arbitration or in the courts of New South Wales
